Welcome to EstateShare. These Terms of Service (“Terms”) are a legal agreement between you and EstateShare LLC (“EstateShare,” “we,” “us,” or “our”), a Utah limited liability company. These Terms govern your access to and use of the EstateShare mobile application and website (the “Service”).

BY CREATING AN ACCOUNT OR USING THE SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, YOU MAY NOT ACCESS THE SERVICE.


1. Eligibility and Accounts

  • Age Requirement: You must be at least 18 years of age to use this Service. By using the Service, you represent that you have the legal capacity to enter into a binding contract.
  • Account Accuracy: You agree to provide accurate, current, and complete information during the registration process. You are responsible for all activities that occur under your account and for maintaining the confidentiality of your login credentials.
  • Unauthorized Use: You must notify us immediately if you suspect any unauthorized use of your account.

2. The EstateShare License

Subject to your compliance with these Terms, EstateShare grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Service for your personal or internal family estate management purposes. This license does not allow you to:

  • Copy, modify, or create derivative works of the software.
  • Reverse engineer or attempt to extract the source code.
  • Sublicense, rent, or lease access to the Service to third parties.

3. User Content and Ownership

  • Your Content: You retain all ownership rights to the photos, descriptions, and data you upload regarding estate assets (“User Content”).
  • Our License to Your Content: To provide the Service, you grant EstateShare a worldwide, royalty-free license to host, store, and display your User Content solely for the purpose of operating the Service for you and your designated family members or executors.
  • Prohibited Content: You may not upload content that is illegal, infringing on intellectual property, or contains sensitive financial data (such as social security numbers or full bank account details) not requested by the platform.

4. Fees and Payments

  • Subscriptions: Some features of EstateShare may require a paid subscription. All fees are clearly disclosed prior to purchase.
  • Third-Party Processors: Payments are handled by third-party processors (e.g., Stripe, Apple, Google). We do not store your raw payment card information.
  • Refund Policy: Except as required by law, all payments are non-refundable. You may cancel your subscription at any time, but you will retain access until the end of the current billing period.

5. Termination

We reserve the right to suspend or terminate your access to the Service at our sole discretion, without notice, if you violate these Terms or engage in fraudulent activity. Upon termination, your right to use the Service will immediately cease.

6. Disclaimers and “As-Is” Provision

ESTATESHARE IS A TOOL FOR ORGANIZATION AND COMMUNICATION; IT IS NOT A LAW FIRM OR A SUBSTITUTE FOR LEGAL ADVICE.
  • The Service is provided on an “AS IS” and “AS AVAILABLE” basis.
  • We do not guarantee that the Service will be uninterrupted or error-free.
  • We make no warranties, express or implied, regarding the legal validity of estate distributions made through the app. You should consult with a qualified probate or estate attorney for legal matters.

7. Limitation of Liability

To the maximum extent permitted by Utah law, EstateShare LLC shall not be liable for any indirect, incidental, special, or consequential damages, including loss of data or profits, arising out of your use of the Service. In no event shall our total liability exceed the amount you paid us in the six months preceding the claim.

8. Governing Law and Venue

These Terms are governed by the laws of the State of Utah, without regard to conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Utah County, Utah, and you hereby consent to the personal jurisdiction and venue therein.

9. Dispute Resolution (Arbitration)

Any dispute arising from these Terms will be settled through binding arbitration in Utah County, Utah, rather than in court, except that you may assert claims in small claims court if your claims qualify. YOU AND ESTATESHARE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

10. Changes to Terms

We may update these Terms from time to time. If we make material changes, we will notify you via the app or email. Your continued use of the Service after such updates constitutes your acceptance of the new Terms.
